1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the website rragroup.online and any professional business and consulting services provided by RRA Group Pty Ltd (ABN 78 703 609 483) ("we", "our", "us"). By accessing our website, requesting a quote, or engaging our services, you agree to be bound by these Terms. If you do not agree, please discontinue use of the website and our services.
2. Services Provided
RRA Group Pty Ltd provides professional business and consulting services, including business advisory, strategy consulting, operational improvement, and related professional services. The specific scope, deliverables, fees, and timelines for any engagement will be set out in a separate written proposal, engagement letter, or service agreement agreed between you and us. In the event of any conflict between these Terms and a signed engagement agreement, the engagement agreement will prevail for that engagement.
3. Quotes and Proposals
Quotes and proposals provided through our website or by email are indicative and non-binding unless accepted in writing. Quotes are valid for 14 days from the date of issue unless otherwise stated in writing. Fees quoted are in Australian dollars and, unless stated otherwise, are exclusive of GST and any other applicable taxes, levies, or government charges.
4. Payment Terms
Invoices are payable within the period stated on the invoice, and in the absence of a stated period, within 14 days of the invoice date. We reserve the right to suspend or cease providing services if payment is overdue, and to charge interest on overdue amounts at a reasonable rate as permitted by law. Where an engagement requires expenses or third-party costs, these will be agreed with you in advance and passed through at cost, together with any reasonable administrative fee disclosed beforehand.
5. Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the Australian Consumer Law set out in Schedule 2 of the Competition and Consumer Act 2010 (Cth) or any other applicable law in Australia that cannot be excluded, restricted, or modified by contract. Our services come with guarantees under the Australian Consumer Law, including guarantees that services will be provided with due care and skill, be reasonably fit for the purpose you made them known to us, and be supplied within a reasonable time.
6. Limitation of Liability
To the fullest extent permitted by law, and except in relation to liability that cannot lawfully be excluded (including under the Australian Consumer Law), our total liability arising out of or in connection with the services or your use of the website is limited at our option to the resupply of the relevant services or the payment of the cost of having the services resupplied. We are not liable for any indirect, incidental, special, or consequential loss, or for loss of profits, revenue, data, or business opportunity, arising from your use of our website or services. You acknowledge that advice, forecasts, and recommendations are based on the information you provide and generally available sources, and that outcomes in business depend on many factors outside our control.
7. Your Responsibilities
You agree to provide us with accurate, complete, and timely information and records reasonably required to deliver the services. You are responsible for the accuracy of information you submit through the website or by email, and for maintaining the confidentiality of any account credentials issued to you. You agree not to use our website for any unlawful purpose, to attempt to gain unauthorised access to our systems, or to scrape, reverse-engineer, or interfere with the website or its content.
8. Intellectual Property
All content on this website, including text, graphics, logos, and design, is owned by or licensed to RRA Group Pty Ltd and is protected by Australian and international copyright and trademark law. Deliverables prepared specifically for you under a paid engagement will be assigned or licensed to you as set out in the relevant engagement agreement. You retain ownership of the business information and materials you provide to us.
9. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with an engagement, and to use it only for the purpose of performing or receiving the services. This obligation does not apply to information that is publicly available, independently developed, lawfully received from a third party, or required to be disclosed by law, provided that where lawful disclosure is required, we will, where practicable, notify you first.
10. Privacy
We handle personal information in accordance with our Privacy Policy and the Privacy Act 1988 (Cth). By using our website or engaging our services, you consent to the collection, use, and disclosure of your personal information as described in the Privacy Policy.
11. Third-Party Links and Content
Our website may contain links to third-party websites or resources. These links are provided for convenience only, and we do not endorse, control, or accept any responsibility for the content, accuracy, or practices of third-party websites. Your dealings with third parties are solely between you and the third party.
12. Website Availability and Changes
We aim to keep our website available and up to date, but we do not warrant that it will be uninterrupted, error-free, or free of harmful components. We may update, modify, suspend, or discontinue any part of the website or its content at any time without notice. Content on the website is general in nature and does not constitute tailored professional advice for your specific circumstances.
13. Termination
Either party may terminate an engagement in accordance with the terms of the relevant engagement agreement, or by giving reasonable written notice where no notice period is specified. Upon termination, you remain liable for fees and expenses incurred up to the date of termination, and clauses covering confidentiality, intellectual property, liability, and governing law will survive termination.
14. Governing Law and Disputes
These Terms are governed by the laws of Victoria, Australia, and the parties submit to the non-exclusive jurisdiction of the courts of Victoria and the Commonwealth of Australia. If a dispute arises, the parties agree to attempt good-faith discussion to resolve the matter before commencing formal proceedings.
